Ossu Diamonds Terms of Use and Sale

Welcome to Ossu Diamonds Inc. ("Ossu Diamonds," "we," "our," or "us"). By using our website, enrolling in our text messaging program, or purchasing our memorial diamonds ("Product"), you ("customer," "you," or "your") agree to these Terms of Use and Sale ("Agreement"). If you disagree with any part of this Agreement, please do not use our services or purchase our products.

Age Requirement. You must be at least 18 years of age to use our website, place an order, or subscribe to our SMS text messaging program. By using our services, you represent and warrant that you are 18 years of age or older and legally capable of entering into a binding contract.

Privacy Policy. Our Privacy Policy, available at https://ossudiamonds.com/policies/privacy-policy, describes how we collect, use, store, and protect your personal information, including information collected through our SMS program. The Privacy Policy is incorporated into and forms part of this Agreement.

1. Overview of Our Service

Ossu Diamonds creates unique memorial diamonds from pet ashes or fur provided by our customers. Each Product is custom-made through a meticulous carbon refinement and diamond-creation process ("Process").

2. SMS / Text Messaging Program

2.1 Program Description and Use Cases

Ossu Diamonds operates an SMS text messaging program to communicate with customers and prospective customers who have provided express written consent. Messages you may receive include:

•      Order and production updates: confirmation of your order, confirmation that we have received your Welcome Kit and sample, production milestone notifications, and notice of completion.

•      Shipping and delivery notifications: dispatch confirmations, tracking information, and delivery updates.

•      Customer care: responses to questions you have submitted to us, requests for information needed to complete your order, and one-to-one conversational support from our team.

•      Appointment and consultation reminders: confirmations and reminders for scheduled calls or consultations.

•      Account and transactional notices: payment reminders, balance due notices, and similar administrative messages.

•      Promotional messages: occasional offers, product announcements, and news about Ossu Diamonds, sent only where you have separately consented to receive marketing messages.

You are not required to consent to receive text messages as a condition of purchasing any Product or service from Ossu Diamonds. Consent to receive marketing text messages is not a condition of any purchase.

2.2 Consent

By providing your mobile phone number and checking the SMS consent box on our website, forms, or checkout, you give Ossu Diamonds your express written consent to send you text messages at that number, including messages sent using an automatic telephone dialing system. You confirm that you are the subscriber to, or the customary user of, the mobile number you provide, and that you are authorized to consent to receive messages at that number. If your mobile number changes or is reassigned, you agree to notify us promptly at hello@ossudiamonds.com.

2.3 Message Frequency

Message frequency varies. You may receive messages based on your order status, your interactions with us, and your messaging preferences. Transactional messages are sent as needed based on the progress of your order. Promotional message frequency will not exceed a reasonable and customary number of messages per month.

2.4 Message and Data Rates

Message and data rates may apply. Ossu Diamonds does not charge for the text messages you send to or receive from us, but your mobile carrier's standard message and data rates, and any other applicable charges, will apply to each message sent and received. These charges are billed by and payable to your mobile service provider, and you are solely responsible for them. Please contact your wireless provider for details of your messaging and data plan.

2.5 Opt-Out Instructions

You may cancel the SMS service at any time by replying STOP to any message we send you. You may also text STOP to our messaging number at any time. After you send STOP, we will send you a single confirmation message acknowledging your request, after which you will no longer receive SMS messages from us. If you want to rejoin the program, sign up again as you did initially, or reply START, and we will resume sending messages to you.

You may also opt out by emailing hello@ossudiamonds.com with your mobile number and a request to be removed from our SMS program.

Opting out of SMS messages does not opt you out of other communications, such as transactional email relating to an order you have placed.

2.7 Carrier Liability Disclaimer

Mobile carriers are not liable for delayed or undelivered messages. Ossu Diamonds and the wireless carriers supported by our program are not liable for any delays, failures, or errors in the delivery, non-delivery, or misdirection of any text message, or for any damages arising from such delays or failures. Delivery of messages is subject to effective transmission by your wireless service provider and is outside of our control. Not all mobile devices or handsets may be supported, and our messages may not be deliverable in all areas.

2.8 Supported Carriers

Our SMS program is available on most major wireless carriers in Canada and the United States. Carriers are not liable for delayed or undelivered messages. Carrier support is subject to change without notice.

2.9 No Sharing of SMS Consent Information

No mobile information, phone numbers, or SMS consent will be shared with or sold to third parties or affiliates for marketing or promotional purposes. Information collected as part of our SMS program is used solely to deliver the messages described in these Terms and to operate our service. We may share your mobile number with service providers who act on our behalf strictly to deliver text messages on our behalf (for example, our messaging platform provider), and those providers are contractually prohibited from using your information for any other purpose. Text messaging originator opt-in data and consent will not be shared with any third party except as required to deliver the messaging service itself, and will never be sold. 2.10 Eligibility

You must be at least 18 years of age to subscribe to and participate in our SMS program. By opting in, you represent that you are 18 or older.

2.11 Changes to the SMS Program

We reserve the right to change or terminate our SMS program, including the short code or telephone number from which messages are sent, at any time and without notice.

3. Ordering and Payment Terms

The cost of the Welcome Kit is non-refundable but can be used as a credit towards the purchase of your final jewellery selection. The total purchase price of your final jewellery selection plus applicable taxes and fees must be paid within 7 days after we confirm receipt of the pet ashes or fur samples. Upon receipt of your payment, the details in your order cannot be changed with the exception of the colour of the jewellery within the communicated timeline that can be selected from our provided options. The payment for your final jewellery selection is non-refundable.

4. Samples Provided by Customer

You must provide us with pet ashes or fur samples in secure, sealed containers as per our instructions. You authorize us and our partners to transport and use these samples. You understand that:

•      Samples provided will lose their original structure irreversibly during the Process.

•      Excess samples not used in the creation process will be respectfully cremated and cannot be returned.

5. Production Timeline

The creation of a memorial diamond typically takes 3 to 4 months, depending on size, with larger diamonds potentially requiring even longer. Timelines provided are estimates and may be affected by factors beyond our control, such as logistics, customs, and production queue.

6. Product Acceptance and Variability

Each memorial diamond is unique due to the distinct chemical composition of the samples provided. You acknowledge and accept variability in the diamond's characteristics, including:

•      Cut: Excellent to Poor

•      Clarity: VVS to I

•      Colour: D (colorless) to Z (yellowish hue) to C (cognac)

•      Carat: Variability within ±10% of the ordered carat weight

Upon receiving your Product, you must inspect it immediately. Claims regarding visible defects or discrepancies must be reported to us within 10 days of your Product arriving at your designated shipping address. Failure to timely report such issues constitutes acceptance of the Product.

7. Shipping and Liability

We are not liable for loss or damage of samples sent by you.

Upon dispatching the completed Product to you via our chosen carrier (e.g., Canada Post, FedEx), risk of loss and liability transfer to you. Any claims for loss or damage during shipment must be filed directly with the carrier.

8. Loss or Failure in Creation

If the diamond creation Process fails due to unforeseen circumstances, we will promptly notify you. You may choose to provide an additional sample for another attempt, or request a full refund of any payments previously made to us as part of the relevant order. The refund of your payment represents the maximum amount payable by us. Original samples cannot be returned in any scenario.

9. Warranty and Repairs

We warrant that our Process will be conducted professionally and consistent with industry standards. No other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, apply.

This warranty does not cover:

•      Normal wear and tear, discoloration, or loss of stones

•      Damage from chemicals, negligence, or improper handling

We offer repair services at a cost; shipping charges may apply.

10. Taxes and Duties

Prices quoted exclude applicable taxes, customs duties, and related fees. You are responsible for all applicable sales taxes and duties.

11. Indemnification

You agree to indemnify Ossu Diamonds Inc. against any claims, damages, liabilities, or expenses (including reasonable attorney fees) resulting from your breach or non-performance under this Agreement.

12. Limitation of Liability

Our total liability arising from any claim related to your purchase shall not exceed the total amount paid by you for the relevant Product. Nothing in this Agreement limits liability for any matter that cannot be limited under applicable law.

13. Delays

Any estimated time of completion given by us or our representatives shall in no way be regarded as a binding promise or guarantee. You acknowledge that any estimated time of completion given by us is only an average period estimated according to our experience and all the previous information provided. This estimated time may be further delayed due to technical issues, logistics delays, holiday schedules, supply chain crisis, or any other matter. We hold no responsibility for any damage caused to you or any other party by the delay of the order completion.

Ossu Diamonds shall not be held liable for delays or failures caused by events beyond reasonable control, including acts of nature, pandemics, war, civil disturbances, supply chain disruptions, government regulations, or transportation delays.

If any such delay occurs as listed in this section, the time for the performance of our obligations will be extended for a period of time equal to the length of the delay plus such additional time as is reasonably necessary to overcome the impact of the delay.

If the delay is due to your negligence or failure to fulfill your obligations, including, without limitation, providing insufficient material to produce the Product as agreed, late settling of any outstanding balances, and any errors in the shipping address you provided, then the schedule will be automatically adjusted to reflect the duration of your delay plus reasonable time for us to accommodate the change.

14. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the applicable laws of Canada. All disputes shall be resolved exclusively in courts located within Ontario.

15. Changes to Terms

We reserve the right to modify these Terms at any time. The revised Terms will become effective immediately upon posting to our website. Your continued use of our website or our SMS program after the revised Terms are posted constitutes your acceptance of them.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between Ossu Diamonds and you, superseding any prior agreements, written or oral, related to our Products or services.

17. Severability

If any provision of these Terms is held invalid or unenforceable, the remainder of the Agreement shall remain in effect.
